1. GENERAL CONDITIONS OF THE SERVICE CERCAZIENDE.IT
1.1 CercAziende.it is a fee service, offered by CercAziende.it S.p.a. situated in 86079 Venafro (IS), S.S. 85 Venafrana, 16 (following CercAziende.it).
1.2 The use of the service CercAziende is under directions of the present General Conditions, which can be changed and transmitted in every moment from CercAziende.it to customers, by publishing them online.
2. SERVICE DESCRIPTION "CercAziende"
2.1 The subscription to CercAziende.it service allows companies to be in the portal www.cercaziende.it and enjoy visibility on the most common search browser.
2.2 In the information tab will find location all the information about the company, such as, for example, address, telephone number, category, etc.
2.3 The inclusion in the database is ensured within 30 working days from the request
3. SERVICE DESCRIPTION
3.1 To ensure the quality of its indexing services, CercAziende.it publish into the portal only commercial information fit to its editorial criteria.
3.2 Following the acceptation of these General Conditions, CercAziende.it undertakes only to examine the correlation of the information given by the customer to its operative guidelines and to its editorial criteria, specified in the following point 4. In case of positive result of this kind of test, CercAziende.it will provide to insert and maintain active in the portal the tab of the customer for all the contract period.
3.3 The customer accepts that the request to use this service does not give right to have information published in its submitted form. Rather, upon submission, CercAziende.it will examine and eventually consider to put the information tab in the portal, in 30 days from the date of request of the service.
3.4 CercAziende.it will retain the customer's information tab in its directory until the customer submits a request for the data to be erased, to the following email address:
registrazione@cercaziende.it.
4. PAYMENT
4.1 The annual costs of the services of CercAziende.it are as follows:
Slim Package - FOR FREE
BASIC - EUR 97,00 + VAT
PRESTIGE - EUR 297,00 + VAT
4.2 The annual fee must be paid in full and in advance, by choosing one of the payment types in the enrolment form, namely:
1. Cheque or banker's Cheque "non-transferable" payable to CercAziende.it Spa
2. PayPal or Credit Card (ON-LINE Payment)
3. Bank transfer at Monte Dei Paschi di Siena branch of Salerno Agency n.1 IBAN IT12P0130152010000001536600 (payable to CercAziende.it Spa)
4.3 CercAziende.it will provide an invoice to the customer, at the address indicated upon subscription, and on paper or online
5. DURATION
5.1 The duration of the contract between CercAziende.it and the customer for the service is set at one year from the date of subscription of the present contract.
5.2 In the case of customers who use credit card payment, the service will be automatically renewed after one year, by charging the fee directly on the credit card indicated by the customer at the first payment, as specified in the following points.
5.3 In all other cases, the service will be automatically renewed for the subsequent year unless it is cancelled by the customer within 30 days of the contract expiry date
6.RIGHT OF WITHDRAWAL
6.1 The client has the right to terminate the contract, without penalty, within 7 days of subscription.
7. INCLUSION OF LISTING INFORMATION WITHIN THE PORTAL.
7.1 CercAziende.it reserves the right to accept submissions for inclusion
and to decide where in the portal and in which category and subcategory to include the client's listings information.
7.2 CercAziende.it will take into account the preferences expressed by the client in the enrolment form, reserving, however, the right to list the client's information
in the category or subcategory it deems to be most appropriate, on the basis of the details submitted.
7.3 The commercial information proposed by the client for inclusion in the web portal, and accepted by CercAziende.it as appropriate, will receive equal treatment, unless other
services are specifically requested by the client.
7.4 CercAziende.it can with discretion remove the listings information from the directory, or move it between categories or subcaetgories, modify or
remove every single key word, annotation or comment, at its discretion, at any moment, for any reason, including, merely examples, changes of
nature, of commercial activity, of products, of services or of contents enclosed in the anagraphic tab list into the portal.
7.5 After the insertion of listings information in the portal, should the client wish to modify substantial parts of the content, such changes must be communicated to CercAziende.it
by using the CercAziende.it standard application form or by email to:

8. CLIENT'S RIGHT TO APPEAL THE DECISION OF CERCAZIENDE.IT TO ACCEPT SUBMISSIONS
8.1 In the case that CercAziende.it decides to reject a request for inclusion of listings information, after 30 days CercAziende.it will send an e-mail to the client explaining the reasons for its decision.
8.2 In this case, the client has the right to ask for a second valuation of its proposal, without further cost, by sending an e-mail to the address specified in the application form. This message must be sent to CercAziende.it within 30 days of notification by CercAziende.it of its first refusal. If the request is received within the specified time, CercAziende.it will analyze again the listings information before making its final decision. If CercAziende.it again rejects the request, the client will not be able to make further appeal or request in respect of the same submission.
8.3 In the case that CercAziende.it agrees to accept a submission for inclusion in the portal, the client may request a review of the category or subcategory in which it appears, without further cost, by sendng an e-mail to the address specified by CercAziende.it in the application form.
8.4 After the insertion of listings information in the portal, should the client wish to modify substantial part of the contents, a request must be made to CercAziende.it by using the standard application form.
9. DATA PROTECTION AND INFORMATION EX D.LGS. 196/2003
9.1 To execute the service, personal data will be published into CercAziende.it' s pages.
9.2 CercAziende.it Spa, as "Owner" of data processing, declares that all personal data voluntarily given by the applicant during completion of the registration form will be taken into a database. This database is governed by "the Code concerning the protection of personal data" (Lgs D. 196/2003) and managed directly by CercAziende.it S.p.a., which, as Owner, ensures total confidentiality, respecting the aforementioned Community legislation. Such data will be processed only as required by the same legislation.These data will be used solely to refer to the customer information and initiatives relating to services provided by CercAziende.it and any other service that may be required to achieve the objective related to and necessary to the enjoyment of them, and according to the purpose useful to our activities such as market research, economic analysis and statistics, mailing of information material and updates on initiatives and offers CercAziende.it.
9.3 The personal information acquired by CercAziende.it may be communicated to all employees, collaborators and consultants at any level of the organisation, and to all allied organisations and their members. The same information, furthermore, may be communicated to organisations controlled by or linked to CercAziende.it and to entities that oversee the activity of CercAziende.it, in all instances within the terms for the use of personal data herein described.
10. LIMITATIONS OF SERVICE PROVIDER'S GUARANTEE
10.1 The service it is offered "as it is" and "as available".
10.2 CercAziende.it in no way guarantees the operability or quality of the service or its suitability to meet the needs of the client.
10.3 CercAziende.it does not guarantee that the service will satisfy the needs or expectations of the client, or that the service will be avaiable continuously and without interruption.
11. LIMITATIONS OF RESPONSIBILITY ON THE PART OF CercAziende.it
11.1 The client recognises and agrees that CercAziende.it will not be contractually or otherwise responsibile for any loss or damage of whatever nature arising from the client's use of the service.
11.2 In particular, CercAziende.it takes no responsibility for any loss, direct or indirect, of profits, data, income, revenue, contract, commercial activity, savings, interest, reputation or goodwill, or any interruption of commercial actvity deriving from or relating to the use of the service by the client or from the client's inability to use the service.
11.3 None of the provisions of this contract may be interpreted in such a way as to exclude or limit the responsibiligy of CercAziende.it in the event of serious loss or blame.
12. CLIENT GUARANTEE: INDEMNITY CLAUSE
12.1 The client declares and guarantees that the information submitted for inclusion in the portal are within the client's own legitimate responsibility and therefore that the client has full rights to enter into the present contract.
12.2 Furthermore, the client declares and guarantees that the information contained within the client's websites and information listing are correct and truthful; that the same information is the client's full and legitimate responsibility; that such information is not contrary to any applicable law or regulation in force; that such information does not violate the rights of any third party, including personal rights. The client agrees and accepts that in every case such information conforms to the editorial critieria of the CercAziende.it portal.
12.3 The client has sole responsibility in relation to the listings information, the client's own website and the content present therein, and the client undertakes to exclude and indemnify CercAziende.it from any dispute or action brought by third parties resulting from violation on the part of the client of the obligations set out in this contract and the declarations and guarantees herein or in the event that that the client's information listing violates the rights of any third party, including personal rights.
13. GENERAL DISPOSITIONS
13.1 The information contained in the present contract are considered to take valid effect when communicated via electronic mail, and upon despatch the same information is considered to have been received at the addresses indicated in the contract agreement and the enrollment form. All correspondence destined for CercAziende.it should be sent by email to marketing@cercaziende.it or by post to CercAziende.it S.p.A. via S. S. 85 venafrana n.16 - 86079 Venafro (IS), Italy.
13.2 For all press statements and public announcements relating to the inclusion of information provided by the client in the portal, including the timing and methods of these announcements, the prior written consent of CercAziende.it is required. CercAziende.it retains the right, at its sole discreation, not to approve or consent to any press statement or public announcement.
13.3 In case CercAziende.it does not exercise one or more of its responsibilities as set out in the present contract, or in the event that CercAziende.it does not fulfill any such responsibility, this circumstance will not be considered a renunciation on the part of CercAziende.it of its responsibilities or as its acceptance of any such non-fulfillment of duty.
13.4 In the event that one or more clause of this contract should be declared null or found to be ineffective by the proper authorities, the remaining previsions of the contract will continue to be considered by CercAziende.it and the client as fully binding and valid.
14. LEGAL BASIS AND REGULATORY AUTHORITY
14.1
14.2 In the event of any dispute inherent in or deriving from the contract and its application, the Foro di Isernia will take sole charge.
